1. Agreement to Terms

By accessing or using the services provided by System AI Solutions Ltd (“Company,” “we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

System AI Solutions Ltd provides AI automation, systems implementation, software development, and related consulting services for businesses. The scope of each project is set out in a separate statement of work, proposal, or service agreement.

3. Client Obligations

You agree to provide accurate information, give reasonable access to the systems and data needed to deliver the work, pay invoices on time, and assign a main contact for the project. Delays caused by missing information, access, or feedback may affect delivery timelines.

4. Intellectual Property

Unless otherwise stated in a separate agreement, custom work created specifically for you becomes yours once full payment is received. Pre-existing tools, methods, templates, code, and know-how remain the property of System AI Solutions Ltd.

5. Payment Terms

Payment terms are set out in the applicable service agreement or invoice. Late payments may incur interest and we may pause work on overdue accounts until payment is made.

6. Confidentiality

Both parties must keep confidential any sensitive or proprietary information shared during the engagement. This obligation continues after the service ends.

7. Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim related to our services will not exceed the fees paid to us in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential losses.

8. Termination

Either party may end a service engagement with written notice, unless a separate agreement says otherwise. You remain responsible for payment for all work completed up to the termination date.

9. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms.

10. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes become effective means you accept the revised Terms.
